Terms of Use

1. Description of Service

TaskFlow Pro is an advanced work management platform designed to help modern organizations build Standard Operating Procedures (SOPs), track performance, manage human resources, and drive results through a unified, intelligent system. The Services include a web-based platform, mobile applications, and related support services.

2. User Accounts and Responsibilities

• Account Creation: You must provide accurate, complete, and current information during the registration process. You are responsible for safeguarding your password and for all activities that occur under your account.
• User Types: The Services offer different types of user licenses ("End-User," "Employee," and "Full Seat"), each with varying levels of access and functionality, as detailed in our official pricing plan. The organization that holds the account is responsible for managing its users and ensuring their compliance with these Terms.
• Administrator Responsibility: If you are an administrator of an organization's account, you are responsible for managing user access, assigning roles, and ensuring that your organization's use of the Services complies with all applicable laws and regulations.

3. Subscription Plans, Fees, and Payment

• Subscription Plans: The Services are offered under various subscription plans (e.g., Free, Startup, Business, Enterprise), as detailed on our pricing page. Your access to features will depend on the plan you select.
• Billing: We will bill you in advance on a recurring, periodic basis (either monthly or annually). All fees are non-refundable, except as required by law or as explicitly stated in these Terms.
• AI Usage: Certain features, particularly those involving advanced AI capabilities, may be billed based on consumption, as detailed in our "AI Usage Policy." You are responsible for monitoring and managing your organization's consumption of these services.
• Upgrades and Downgrades: You may upgrade your plan at any time. Downgrades will take effect at the end of your current billing cycle.

4. Acceptable Use Policy

You agree not to misuse the Services or help anyone else to do so. You agree not to:

• Probe, scan, or test the vulnerability of any system or network.
• Breach or otherwise circumvent any security or authentication measures.
• Access, tamper with, or use non-public areas of the Service.
• Interfere with or disrupt any user, host, or network.
• Use the Services to store or transmit any content that is infringing, libelous, or otherwise unlawful or tortious, or to store or transmit material in violation of third-party privacy rights.
• Violate any applicable law or regulation.

5. User-Generated Content

• Your Content: You retain all ownership rights to the data, information, workflows, and other content you create or upload to the Services ("User Content").
• Our License to You: We grant you a limited, non-exclusive, non-transferable license to use the Services in accordance with your subscription plan.
• Your License to Us: To the extent necessary to provide the Services to you, you grant us a worldwide, royalty-free license to use, reproduce, modify, and distribute your User Content. This license is for the sole purpose of operating, providing, and improving the Services.

6. Intellectual Property

All right, title, and interest in and to the Services (excluding User Content) are and will remain the exclusive property of RightCode LTD and its licensors. The Services are protected by copyright, trademark, and other laws. Nothing in the Terms gives you a right to use the TaskFlow Pro name or any of the TaskFlow Pro trademarks, logos, domain names, and other distinctive brand features.

7. Confidentiality

"Confidential Information" means all information disclosed by one party to the other which is marked as confidential or which a reasonable person would understand to be confidential. Each party agrees to protect the other's Confidential Information with the same standard of care it uses to protect its own and not to disclose the Confidential Information, except to affiliates, employees, and agents who need to know it and who are legally bound to keep it confidential.

8. Term and Termination

• Term: These Terms will remain in effect until your subscription to the Services terminates.
• Termination by You: You are free to stop using our Services at any time.
• Termination by Us: We may suspend or terminate your access to the Services with notice to you if:
  • (a) you are in breach of these Terms,
  • (b) you are using the Services in a manner that would cause a real risk of harm or loss to us or other users.

9. Disclaimers and Limitation of Liability

• "AS IS" Service: THE SERVICES ARE PROVIDED "AS IS," AT YOUR OWN RISK, WITHOUT EXPRESS OR IMPLIED WARRANTY OR CONDITION OF ANY KIND.
• Limitation of Liability: TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL RIGHTCODE LTD, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS OR LICENSORS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, EXEMPLARY OR CONSEQUENTIAL DAMAGES, OR ANY LOSS OF USE, DATA, BUSINESS, OR PROFITS, REGARDLESS OF LEGAL THEORY.

10. Governing Law and Dispute Resolution

These Terms and any action related thereto will be governed by the laws of the Syrian Arab Republic without regard to its conflict of laws provisions. Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by arbitration in Damascus, Syria.

11. Changes to These Terms

We reserve the right to modify these Terms at any time. If we make changes that are material, we will provide you with reasonable notice prior to the changes becoming effective. By continuing to use the Services after those changes become effective, you agree to be bound by the revised Terms.
